These Terms and Conditions constitute an electronic agreement between you (hereinafter the “User”) and Paragon Exchange (operated by AZALEERT spółka z ograniczoną odpowiedzialnością, authorized by the relevant regulatory authority as a virtual currency exchange operator, with its registration number RDWW - 1168, and its registered address at BARTYCKA Street, No. 22B, 00-716, WARSAW, POLAND).

As used herein, “Paragon Exchange” refers to the https://paragon-exchange.com company trading as https://paragon-exchange.com, including but not limited to, its owners, directors, investors, officers, employees, agents, or other related parties, unless otherwise provided herein. These Terms and Conditions contain important provisions, which the User must consider carefully when choosing whether to visit the Site and use the services, products, and content of Paragon Exchange. Please read these Terms and Conditions carefully before agreeing to them.

The User is solely responsible for understanding and complying with any and all laws, rules, and regulations of his/her specific jurisdiction that may be applicable to the User in connection with the use of any and all services, products, and content of Paragon Exchange.

These Terms and Conditions incorporate the Privacy Policy as well as any other policies published on the Site by reference, so by accepting these Terms and Conditions, the User agrees with and accepts all the policies published on the Site. IF THE USER DOES NOT ACCEPT THESE TERMS AND CONDITIONS, THE USER SHALL NOT ACCESS THIS SITE AND SHALL NOT USE ANY OF PARAGON EXCHANGE'S SERVICES, PRODUCTS, AND CONTENT.

1. DEFINITIONS

1.1. Capitalized terms used in these Terms and Conditions shall be interpreted in accordance with the definitions provided below:

  • 1.1.1. Account: means an account registered by the User on the Platform.
  • 1.1.2. Base Currency: means the first symbol in the transaction pair.
  • 1.1.3. Buyer: means the User who submits an Order to buy Cryptocurrencies through the Platform.
  • 1.1.4. Commission: means a fee charged by or on behalf of any third party (e.g. bank, non-bank financial institution, payment service provider, etc.).
  • 1.1.5. Cryptocurrency: means peer-to-peer decentralized digital representation of value (e.g. Bitcoin, Ethereum, etc.).
  • 1.1.6. Deposit: means a Transaction involving the transfer of Funds to the Account.
  • 1.1.7. Fiat currency: means government-issued currency that is designated as legal tender in its country of issuance through government decree, regulation, or law.
  • 1.1.8. Funds: means Cryptocurrency or Fiat currency.
  • 1.1.9. Order: means the User’s instruction to buy or sell Cryptocurrency on certain conditions.
  • 1.1.10. Rollover fee: means estimated fee that is charged by Paragon Exchange from the User’s balance to rollover a position for the next 4 hours.
  • 1.1.11. Seller: means the User who submits an Order to sell Cryptocurrencies through the Platform.
  • 1.1.12. Services: means all and any service provided by Paragon Exchange.
  • 1.1.13. Site: means Paragon Exchange website at https://paragon-exchange.com.
  • 1.1.14. Storage: means Paragon Exchange service, which includes storing of balances (in Fiat currency and/or in Cryptocurrency) from the abandoned Accounts, no longer supported cryptocurrencies.
  • 1.1.15. Transaction fee: means a fee which is payable to Paragon Exchange for each completed Transaction.
  • 1.1.16. Transaction Price: means the total price paid by the Buyer in respect to each Transaction performed via the Service.
  • 1.1.17. Transaction: means
    • (i) transfer of Cryptocurrencies or Fiat currencies by the User to his/her Account (“Deposit Transaction”);
    • (ii) transfer of Cryptocurrencies or Fiat currencies among the Users;
    • (iii) withdrawal of Cryptocurrencies or Fiat currencies from his/her Account (“Withdrawal Transaction”).
  • 1.1.18. User: means a person or an entity that uses the Services, agrees to follow the Terms and Conditions, and is a holder of an Account.
  • 1.1.19. Voucher: means an alphanumeric redeemable code, which can be used to transfer Cryptocurrency between Accounts.
  • 1.1.20. Withdrawal: means a Transaction involving a transfer of Funds from the User’s Account to his/her bank account or to an account opened in any other financial institution.

1.2. Where the context so admits words denoting the singular shall include the plural and vice versa.

2. THE SCOPE OF THE SERVICES

2.1. Depending on the User’s place of residence, the User may not be able to use all the functions of the Site. It is the User’s responsibility to follow those rules and laws in his/her place of residence and/or place from which the User accesses this Site.

2.2. The User acknowledges and agrees that, when completing Transactions, he/she is dealing with other Users, and that Paragon Exchange acts only as an intermediary in such Transactions, not as the counterparty to any trade.

3. THE USER’S RIGHTS AND RESPONSIBILITIES

3.1. The User has the right to enter and use the Site and the Services, as long as he/she agrees to and actually complies with the Terms and Conditions. By using the Site, the User agrees to accept and comply with the terms and conditions stated herein.

3.2. The User undertakes to read the entire Terms and Conditions carefully before using the Site or any of the services provided by Paragon Exchange.

3.3. The User undertakes to comply with any and all applicable laws and regulations related to the use of the Services.Users must provide accurate and truthful information and update it as necessary. Failing to do so may result in account suspension or termination.

3.4. The User undertakes to monitor all and any changes on his/her Account, including but not limited to the balance matters.

3.5. Users must ensure the security of their account, and notify Paragon Exchange immediately of any unauthorized access or security breaches. The User undertakes to immediately (i.e., right after the moment of discovery) inform Paragon Exchange about any unusual, suspicious, unclear, or abnormal changes on his/her Account. In case of late informing or non-informing, the User will be liable for the breach of the Terms and Conditions, and Paragon Exchange will have the right to take any further steps accordingly, including but not limited to reporting to the relevant state or national authorities.

3.6. The User agrees that, whenever a successful Transaction is made, the Platform sends and receives the monetary sums and/or cryptocurrencies to/from the Buyer’s and the Seller’s Accounts opened in their name and on their behalf, within one (1) hour.

3.7. The User agrees that, whenever a successful Transaction is made, the website delivery is instant. The user’s account is credited immediately.

3.8. The User undertakes to notify Paragon Exchange immediately of any unauthorized use of his/her Account or password, or any other breach of security by email addressed to [email protected]. Any User who violates the mentioned rules may be terminated and thereafter held liable for any losses incurred by Paragon Exchange or any user of the Site.

3.9. The User undertakes not to use the Service to perform criminal or unlawful activities, including but not limited to money laundering, illegal gambling operations, terrorist financing, or malicious hacking or any other malicious activities.

3.10. The User is responsible for any and all damages caused, and all liability actions brought against Paragon Exchange for infringement of any third-party rights or violation of any applicable laws.

3.11. Nothing in the Terms and Conditions excludes or limits the liability of the User for fraud, death, or personal injury caused by their negligence, breach of the terms implied by operation of law, or any other liability which may not by law be limited or excluded.

4. PARAGON EXCHANGE'S RIGHTS AND RESPONSIBILITIES

4.0. Paragon Exchange reserves the right to refuse service or close accounts at its discretion, especially in cases of suspicious activity.

Paragon Exchange has the right to suspend the User’s Account and block all Cryptocurrency or Fiat currency contained therein in case of non-fulfillment or unduly fulfillment of the Terms and Conditions by the User or if fraudulent activity is suspected.

4.2. In case of fraud, breach of the law, or breach of the Terms and Conditions by the User, Paragon Exchange has the right to cooperate with the authorities in accordance with applicable laws.

4.3. Paragon Exchange is not responsible for any malfunction, breakdown, delay, or interruption of the Internet connection or any reason why the Site is unavailable at any given time.

4.4. Paragon Exchange is not responsible for the delay in the processing of payments made by the fault of any third parties (including financial institutions), operators of such transactions.

4.5. In the case where the User violates these Terms and Conditions, Paragon Exchange has the right to apply any penalties including but not limited to blocking access to the User’s Account and access to the Services.

4.6. Paragon Exchange has the right to make changes and/or additions to these Terms and Conditions at any time by posting the revised Terms and Conditions on the Site, with a specified effective date. The User's continued use of the Services will be considered as acceptance of such changes and/or additions.

4.7. Paragon Exchange will not provide its services to residents of certain jurisdictions where such services are prohibited by law.

4.8. Paragon Exchange can adjust fees for transactions and services with prior notice to users.

5. THIRD-PARTY SERVICES AND WEBSITES

The Service may provide links or other access to services, sites, technology, and resources that are provided or otherwise made available by third parties (the “Third-Party Services”). Additionally, you may enable or log in to the Service via various online Third-Party Services, such as third-party tax software providers, crypto service providers, or banks, and social media or social networking services like Twitter, LinkedIn, and Reddit. Your access and use of the Third-Party Services may also be subject to additional terms and conditions, privacy policies, or other agreements with such third parties, and you may be required to authenticate to or create separate accounts to use Third-Party Services on the websites or via the technology platforms of their respective providers. Some Third-Party Services will provide us with access to certain information that you have provided to third parties, including through such Third-Party Services, and we will use, store, and disclose such information in accordance with our Privacy Policy. For more information about the implications of activating Third-Party Services and our use, storage, and disclosure of information related to you and your use of such Third-Party Services within the Service, please see our Privacy Policy. Paragon Exchange has no control over and is not responsible for such Third-Party Services, including for the accuracy, availability, reliability, or completeness of information shared by or available through Third-Party Services, or on the privacy practices of Third-Party Services. We encourage you to review the privacy policies of the third parties providing Third-Party Services prior to using such services. You, and not Paragon Exchange, will be responsible for any and all costs and charges associated with your use of any Third-Party Services. Paragon Exchange enables these Third-Party Services merely as a convenience, and the integration or inclusion of such Third-Party Services does not imply an endorsement or recommendation. Any dealings you have with third parties while using the Service are between you and the third party. Paragon Exchange will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any Third-Party Services.

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Paragon Exchange, its affiliates, and its and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the “Paragon Parties”) from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind, and injury (including death) arising out of or relating to your use of the Service, any User Content, your connection to the Service, your violation of these Terms of Service, or your violation of any rights of another. Notwithstanding the foregoing, you will have no obligation to indemnify or hold harmless any Paragon Party from or against any liability, losses, damages, or expenses incurred as a result of any gross negligence or willful misconduct of such Paragon Party. Paragon Exchange will provide notice to you of any such claim, suit, or proceeding. Paragon Exchange reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section, and you agree to cooperate with any reasonable requests assisting Paragon Exchange’s defense of such matter. You may not settle or compromise any claim against the Paragon Parties without Paragon Exchange’s written consent.

7. DISCLAIMER OF WARRANTIES

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE PARAGON PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE PARAGON PARTIES MAKE NO WARRANTY THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

NO ADVICE AND/OR INFORMATION, WHETHER WRITTEN OR ORAL, THAT MAY BE OBTAINED BY YOU FROM PARAGON EXCHANGE OR BY WAY OF OR FROM OUR SERVICES OR SOFTWARE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

8. JURISDICTIONS AND APPLICABLE LAW

The Terms and Conditions and any legal relationship between the Parties arising out of or in connection with them shall be governed by and construed in accordance with the laws of the relevant jurisdiction without regard to its conflict of laws rules.

The Parties agree to settle all their disputes arising out of or in connection with the Terms and Conditions in accordance with the laws of the relevant jurisdiction.

9. ELIGIBILITY AND USER ACCOUNT

9.1. Age Requirement: The User must be at least 18 years old to register an account and use the services provided by Paragon Exchange.

9.2. Single Account Policy: The User must not have an existing account with Paragon Exchange at the time of registration. If the User has an existing account, they must close the old account before opening a new one.

10. USER'S UNDERSTANDING & COMPLIANCE

10.1. The User acknowledges and agrees to provide all necessary information and documentation required to meet KYC (Know Your Customer) and AML/CTF (Anti-Money Laundering and Counter-Terrorist Financing) requirements. Users understand and consent to their data being used for these checks.

10.2. The User must ensure that the information and documentation provided are accurate, complete, and up-to-date at all times.

10.3. The User agrees to comply with any requests from Paragon Exchange to provide additional information or documentation in relation to KYC and AML/CTF requirements to ensure compliance with legal requirements.

11. CANCELLATION POLICY

11.1. Transactions involving cryptocurrencies are generally irreversible once confirmed on the blockchain. Customers must ensure that all transaction details, including recipient addresses and amounts, are accurate before finalizing their transactions.

11.2. Cancellations may only be accommodated if the transaction is still pending and has not been processed by the blockchain network.

12. REFUND POLICY

12.1. Refunds for cryptocurrency transactions will only be processed under the following conditions:

  • 12.1.1. A transaction error caused by the platform (e.g., duplicate transactions or system errors).
  • 12.1.2. Unauthorized transactions reported within 24 hours, subject to verification.

12.2. Refunds will be issued in the original payment method (fiat or cryptocurrency). Crypto refunds will be based on the current exchange rate at the time of processing, which may differ from the original transaction rate.

12.3. Refund requests must be submitted within 7 days of the transaction.

13. RETURNS POLICY

Digital asset transactions (e.g., cryptocurrency purchases) are non-returnable due to their nature. For any disputes related to digital assets, please contact our support team for assistance.

14. PERIODIC CHECKS

14.1. Paragon Exchange reserves the right to conduct periodic checks of the User's account to verify the accuracy and completeness of the identification and verification data provided to ensure compliance with legal requirements.

14.2. The User agrees to cooperate fully with Paragon Exchange during these periodic checks, including providing any requested information or documentation in a timely manner.

14.3. Failure to comply with the requests for information or documentation may result in the suspension or termination of the User's account and services.

15. CUSTOMER COMPLAINTS POLICY

15.1. Customers can file complaints by:

16. AML AND CTF COMPLIANCE

16.1. We adhere to strict AML and CTF regulations to prevent financial crimes.

17. MONITORING AND REPORTING

17.1. Transactions are monitored for unusual or suspicious activities.

18. PROHIBITED ACTIVITIES

18.2. Accounts involved in such activities will be suspended or terminated, and authorities will be notified.

19. INFORMATION ABOUT COSTS AND ASSOCIATED CHARGES
  • 19.1. Transaction Fees: Percentage-based or fixed fee, depending on transaction size and currency.
  • 19.2. Deposit/Withdrawal Fees: Fees for depositing fiat or cryptocurrency into the platform and withdrawing funds.
  • 19.3. Conversion Fees: Applicable when converting between fiat and cryptocurrencies or between different cryptocurrencies.
  • 19.4. Commission: Variable fees charged by the blockchain for processing transactions.
  • 19.5. Network Fees: All fees will be itemized on the transaction summary page before confirmation.
20. RISK DISCLOSURE
  • 20.1. Volatility Risk: Prices of cryptocurrencies can fluctuate significantly within short periods, leading to potential gains or losses.
  • 20.2. Regulatory Risk: Changes in local or international regulations may impact the use or value of cryptocurrencies.
  • 20.3. Security Risk: Although the platform employs robust security measures, cyber threats, including hacking and phishing, remain a possibility.
  • 20.4. Liquidity Risk: Certain cryptocurrencies may face liquidity issues, impacting the ability to buy or sell them at desired prices.

Users are encouraged to thoroughly assess these risks before engaging in transactions and to consult with financial advisors if necessary.

21. INFORMATION ABOUT COMPLAINTS HANDLING
  • 21.1. Specificity: Complaints about pricing discrepancies must include transaction ID, timestamp, and screenshots (if applicable).
  • 21.2. Resolution Timeline: Pricing-related complaints will be prioritized for resolution within 3 business days, given their time-sensitive nature.
22. REQUIREMENTS CONCERNING TRANSACTIONS WITH VIRTUAL CURRENCIES

22.1. Cryptocurrencies are highly volatile assets, and their prices may fluctuate significantly within short periods. Customers are advised to trade with caution and to only invest funds they can afford to lose.

22.2. It is the sole responsibility of the customer to ensure compliance with the regulatory requirements of their jurisdiction before engaging in cryptocurrency transactions on this platform. The platform does not provide legal advice on such matters.

22.3. Customers are strongly advised to retain copies of their transaction records, as well as a copy of the platform’s Terms & Conditions, Privacy Policy, and other relevant documentation for their personal records.
